CODIMAソフトウェア製品の販売条件

1.販売条件への同意

Thank you for visiting the Codima Inc (Europe) Ltd website, (www.codimatech.com). This document (“Terms of Sale”) is a legal agreement between you or the entity that you represent and Codima, and governs your download and purchase of Codima software products.

ソフトウェア製品をダウンロードするためにWebサイトを使用することにより、販売条件、および以下に示すエンドユーザー使用許諾契約の条件に同意したものと見なされることに注意してください。販売条件またはエンドユーザー使用許諾契約の条件に同意しない場合は、注文および/またはダウンロードプロセスを続行せずにWebサイトを終了してください。CODIMAから送信されたソフトウェア製品の使用を開始すると、販売条件、およびCODIMAが提供するエンドユーザー使用許諾契約の条件に同意したことになりますのでご注意ください。あなたが同意しない場合は、私たちが何らかの形であなたに出荷したソフトウェア製品をインストールまたは使用しないでください。

2．目的

このWebサイトの目的は、Webサイトからダウンロードして購入できるようにする、または他の方法で購入して何らかの形で出荷するソフトウェア製品に関する情報を提供することです。

3.評価版のダウンロード

下記のエンドユーザー使用許諾契約書（EULA）に規定されている評価ライセンスに従って、無料トライアルベースでソフトウェアをダウンロードできます。ソフトウェアの評価版のコピーの使用には、EULAの該当する契約条件が適用されます。

4.商用ライセンスの購入

評価期間の満了後、EULAに規定されているように、年間サブスクリプション、永久ライセンス、または該当する場合は無料版に従って、Webサイトからソフトウェアの商用ライセンスを取得するか、他の方法で購入することができます。ソフトウェアのコピーの使用には、EULAの該当する契約条件が適用されます。

認定再販業者を通じて販売された場合、再販業者は、事業を行っている地域内での商用ライセンスの販売に責任を負います。その地域での商用ライセンスの購入には、お客様と再販業者の間で合意された価格設定または特別な販売条件が適用されます。支払いを確保するために、有効なクレジットカード番号またはその他の受け入れ可能な支払い方法を再販業者に提供する責任はお客様にあります。ご提供いただいたクレジットカード番号が有効でない場合、再販業者は注文をキャンセルする権利を留保します。

エンドユーザーライセンス契約

Codima offers four variants of the Software license.

1. 無償ライセンス
2. Evaluation License
3. Annual License
4. Perpetual License

1. FREE LICENSE:

Codima grants you a free license that is a non-exclusive, non-transferable, worldwide license to use the licensed software at no cost in perpetuity. This license allows you to have one user and up to 25 managed devices. As part of the fee license, email support for problem reporting will be provided to you at no cost.

2. EVALUATION LICENSE:

Codima grants to you a non-exclusive and non-transferable evaluation license for trial and evaluation of the licensed software, in binary object code form, for a period of thirty (30) days from the date of issue. This license begins from the date of issue of the licensed software and ends thirty (30) days after that. This time span is referred to as the “evaluation period”.

After the evaluation period has come to an end you can either request an extension from Codima, stop using the evaluation license as it is now expired, or decide to purchase an annual or perpetual license. It is the user’s obligation to delete and remove the Codima software after the evaluation period, delete all the copies installed in your computer with immediate effect. The user is forbidden from using the licensed software for any other use or otherwise offering it for resale under the terms of this Section 2. Codima retains all rights not specifically granted to you herein. In the event that you decide to continue using the licensed software after the evaluation period, the license can be renewed should Codima agree to do so.

3. ANNUAL SUBSCRIPTION LICENSE:

As part of your choosing an annual subscription license, Codima grants you a fee-bearing, non-exclusive, non-transferable, worldwide license to use the licensed software including user documentation that you have downloaded from or received on media provided by Codima. This includes all updates, where applicable, provided that such access and use of the licensed software is in accordance with the single installation license granted by Codima. “Use” means storing, locating, installing, executing, or displaying the licensed software according to the license procured by you. “Single installation license” means that the license key provided shall not be used for more than one concurrent use of the licensed software. Under the subscription license, the licensed software is licensed only for the intended duration. If you do not renew the subscription beyond the duration, you agree to stop using the software, and remove the software from your systems. To continue using the licensed software beyond the subscribed duration, you must renew your license at least 10 days before the expiry of the term. As part of the subscription license, all updates, upgrades, email support for problem reporting, and online access to product documentation for the licensed software will be provided to you at no additional cost during the intended period.

4. PERPETUAL LICENSE:

As part of your choosing a perpetual license, Codima grants you a fee-bearing, non-exclusive, non-transferable, perpetual, worldwide license to use the licensed software including user documentation, updates, and upgrades to which you are entitled as well as any plug-ins provided to you, provided that such access and use of the licensed software is in accordance with the single installation license granted by Codima.

“Use” means storing, locating, installing, executing or displaying the licensed software according to the license procured by you.
“Single installation license” means that the license key provided shall not be used for more than one concurrent use of the licensed software.

5. THIRD PARTY PRODUCTS:

The licensed software may contain software which originated with third party vendors and without limiting the general applicability of the other provisions of this agreement, you agree that (a) the title to any third-party software incorporated in the licensed software shall remain with the third party which supplied the same, and (b) you will not distribute any such third party software available with the licensed software, in any manner.

6. RESTRICTIONS ON USE:

7. TECHNICAL SUPPORT:

As part of a subscription license and for the first year of use with a Perpetual license, Codima provides support that includes email support for problem reporting, product updates, upgrades, and online access to product documentation at no additional cost for the period of subscription and the first year of the perpetual license. You may purchase additional time periods of technical support services for perpetual license by paying the then current maintenance and support fee.

8. COLLECTION OF USAGE DETAILS:

Codima collects details pertaining to your usage of the licensed software such as the license details, configuration of the system in which the licensed software is installed, usage statistics pertaining to inventory, administrator and user functions, and frequency of use of the various features of the licensed software including pages and reports accessed. Codima agrees to furnish the data collected regarding your usage of the licensed software upon request by you. You understand and acknowledge that collection of usage details is enabled by default and that it needs to be disabled through the licensed software’s user interface if you do not wish to allow Codima to collect the usage details.

9. OWNERSHIP AND INTELLECTUAL PROPERTY:

11. CONFIDENTIALITY:

12. WARRANTY DISCLAIMER:

Codima does not warrant that the licensed software will be error-free. Except as provided herein, the licensed software is furnished “as is” without warranty of any kind, including the warranties of merchantability and fitness for a particular purpose and without warranty as to the performance or results you may obtain by using the licensed software. You are solely responsible for determining the appropriateness of using the licensed software and assume all risks associated with the use of it, including but not limited to the risks of program errors, damage to or loss of data, programs or equipment, and unavailability or interruption of operations.

13. LIMITATION OF LIABILITY:

In no event will Codima be liable to you or any third party for any special, incidental, indirect, punitive, exemplary, or consequential damages, or damages for loss of business, loss of profits, business interruption, or loss of business information arising out of the use or inability to use the program or for any claim by any other party even if Codima has been advised of the possibility of such damages. Codima’s entire liability with respect to its obligations under this agreement or otherwise with respect to the licensed software shall not exceed the amount of the license fee paid by you for the licensed software.

14. INDEMNIFICATION:

Codima agrees to indemnify and defend you from and against any and all claims, actions or proceedings, arising out of any claim that the licensed software infringes or violates any valid English patent, copyright or trade secret right of any third party; so long as you provide; (i) prompt written notice to Codima of such claim; (ii) cooperate with Codima in the defense and/or settlement thereof, at Codima’s expense; and, (iii) allow Codima to control the defense and all related settlement negotiations. The above is Codima’s sole obligation to you and shall be your sole and exclusive remedy pursuant to this agreement for intellectual property infringement.

15. TERMINATION:

この契約は、いずれかの当事者によって終了されるまで有効です。お客様は、所有しているライセンス対象ソフトウェアのすべてのコピーを破棄するか、Codimaに返却することにより、いつでも本契約を終了することができます。Codimaは、本契約のいずれかの条件への違反を含むがこれに限定されない理由を問わず、本契約を終了する場合があります。終了時に、ライセンスされたソフトウェアのすべてのコピーを破棄するかCodimaに返却し、すべての既知のコピーが破棄されたことを書面で証明するものとします。守秘義務、所有権、非開示、および責任の制限に関連するすべての規定は、本契約の終了後も存続するものとします。

16. GENERAL:

If you are a resident in England or in any other jurisdiction, this agreement shall be governed by and interpreted in all respects by the laws of England and Wales, without reference to conflict of laws’ principles, as such laws are applied to agreements entered into and to be performed entirely within England and Wales. This agreement constitutes the entire agreement between the parties, and supersedes all prior communications, understandings, or agreements between the parties. Any waiver or modification of this agreement shall only be effective if it is in writing and signed by both parties hereto. If any part of this agreement is found invalid or unenforceable, the remainder shall be interpreted so as to give reasonable effect to the intention of the parties. You shall not export the licensed software or your application containing the licensed software except in compliance with the United States and/or English export regulations and applicable laws and regulations.
